Uniform act on commercial companies and economic interest groups
Summary
This uniform act, usually referred to as AUSCGIE, sets the rules for forming, running, converting and dissolving commercial companies in OHADA member states, including Gabon. It replaced the original text of 17 April 1997 and came into force on 5 May 2014. It governs in particular the limited liability company (SARL), the public limited company (SA), the simplified joint stock company (SAS), which this revision introduced, general and limited partnerships, the economic interest group (GIE) and the branch of a foreign company. It covers articles of association, contributions, registration in the trade and personal property credit register (RCCM), management bodies, statutory audit, securities and criminal penalties. It is the reference text for any company formation in Gabon.
