  1. Step 1

    Prepare the file

    Gather the documents required by the online investment one-stop shop (GNI) for an SARL or SARLU. Each document must be legible and valid. If the activity is regulated, a technical approval may be required before or after incorporation.

  2. Step 2

    Submit the file on the GNI and pay the fees

    Create an account on the online one-stop shop, enter the details of the company, its managers and its capital, upload the documents and pay the fees online. The platform offers payment by Airtel Money among other options.

  3. Step 3

    File validated by ANPI-Gabon

    ANPI-Gabon checks that the file is complete before sending it to the partner administrations. For activities not covered by a sector code or a regulated profession, the Investment Charter provides for a simple declaration: administrations have 48 hours to raise an objection.

  4. Step 4

    Registration of the legal deeds

    The articles and incorporation deeds are registered with the tax administration. Step handled by the partner administration within the one-stop shop circuit, with no separate action by the applicant.

  5. Step 5

    Registration in the RCCM

    The registry assigns the number in the Trade and Personal Property Credit Register (RCCM), kept under OHADA law. Step handled by the partner administration within the one-stop shop circuit, with no separate action by the applicant.

  6. Step 6

    Tax identification number issued

    The Directorate General of Taxes issues the tax identification number (NIF), used afterwards with the tax, customs and other administrations. Step handled by the partner administration within the one-stop shop circuit, with no separate action by the applicant.

  7. Step 7

    Registration with the CNSS and CNAMGS

    The business is registered with the social security and health insurance funds. Step handled by the partner administration within the one-stop shop circuit, with no separate action by the applicant. The employer must still declare its workers to the CNSS within eight days of hiring.

  8. Step 8

    Publication in the Official Journal

    A notice of incorporation is published in the Official Journal of the Gabonese Republic. Step handled by the partner administration within the one-stop shop circuit, with no separate action by the applicant.

    Final validation and delivery of the single registration form

    Identify the applicable regime

    Activities outside sector codes and regulated professions only require a simple declaration at the one-stop shop. Sectors covered by a specific code, notably the extraction and processing of natural resources, follow their own tax and technical rules.

  2. Step 11

    File at the one-stop shop

    File the incorporation or project file with ANPI-Gabon. For an activity under a sector code, approval is granted by the supervising minister on the advice of a decision committee within 30 days of filing. For a regulated profession, the competent body or professional order decides within 15 days.

    Apply the general tax benefits

    The Charter provides for a corporate tax exemption during the first three financial years, declining-balance depreciation and loss carry-forward.     Apply for duty suspension regimes

    Export-oriented activities can benefit from duty suspension through temporary admission, duty-free entry or inward processing, within the CEMAC common external tariff. The application is made to customs.

    On first hiring, declare each worker to the CNSS within eight days using the worker registration form and the documents listed on it. A worker who already has a number is reported with a hiring certificate.

  2. Step 15

    Declare wages every quarter

    File the quarterly wage declaration (DTS) with the employer declaration notice, then pay the contributions. The employer CNSS share reported by PwC is 16% (family benefits 8%, pensions 5%, work injury 3%), on wages capped at XAF 1.5 million per month.
